1. Introduction
This User Agreement (“Agreement”) sets out the terms under which you may access and use the FortisX platform, including dashboards, analytics, automation tooling, APIs, and related services (collectively, the “Services”). By creating an account, connecting a wallet or infrastructure, or using the Services in any way, you agree to be bound by this Agreement.
If you do not agree to this Agreement, you must not access or use the Services.
2. Relationship to Terms of Use and Policies
This Agreement supplements our Terms of Use, Privacy Policy, Cookie Policy, and AML/KYC Policy (together, the “Policies”). The Terms of Use apply to all visitors to our websites. This Agreement applies when you register an account, connect wallets or infrastructure, or otherwise use the Services beyond purely informational browsing.
In the event of a conflict between this Agreement and the Terms of Use, this Agreement governs your use of the Services, unless a separate written agreement with FortisX expressly overrides it.
3. Eligibility and Account Registration
You may use the Services only if you:
are at least 18 years old and have legal capacity to enter into binding agreements;
are not subject to sanctions, export restrictions, or other prohibitions under applicable law;
will comply with all laws and regulations applicable to your use of digital assets and the Services.
You are responsible for ensuring that all information you provide to FortisX is accurate and kept up to date.
4. Description of the Services
FortisX provides a cloud-based platform for institutional staking operations. The Services may include:
analytics and monitoring of validators, networks, and pools (including reliability, risk, load, and delegation behaviour);
tools for defining allocation policies, target distributions, limits, and risk parameters;
automation and orchestration of staking, restaking, and rebalancing across supported networks and providers;
dashboards, alerts, and reports for ongoing oversight of positions and infrastructure;
APIs and integrations that allow your systems to consume analytics and signals from the platform.
The specific features available to you may depend on your plan, configuration, and any separate commercial agreement with FortisX.
5. Use of Capital and Execution
By configuring strategies, policies, or allocation rules in the Services, you instruct FortisX to implement these rules within the technical and contractual limits of your setup. Depending on the product and integration model, the Services may:
prepare and submit transactions, allocation changes, and rebalancing operations to supported networks, pools, or validators;
interact with third-party custodians, exchanges, or infrastructure providers that you connect or appoint;
adjust positions over time in accordance with your configured parameters and policies.
You remain the beneficial owner of the digital assets and are responsible for the initial setup, permissions, and connections that allow FortisX to perform operations on your behalf. FortisX does not guarantee any particular allocation, yield, or outcome and does not act as your investment, legal, or tax adviser.
6. Your Responsibilities
You are responsible for:
configuring strategies, allocation rules, and risk parameters in a way that aligns with your objectives and constraints;
verifying validator addresses, network parameters, and provider details before activating strategies;
maintaining the security of your wallets, accounts, infrastructure, and any credentials or API keys connected to the Services;
meeting all legal, regulatory, and tax obligations related to your digital asset activities;
regularly reviewing and updating configurations as your situation or risk appetite changes.
You must notify us promptly if you become aware of unauthorized access to your account or any security incident that may affect the Services.
7. Acceptable Use
You must not use the Services to:
violate any applicable law, regulation, or regulatory guidance;
engage in fraud, market manipulation, money laundering, or terrorist financing;
interfere with or disrupt the integrity, performance, or security of the Services or underlying infrastructure;
bypass or attempt to bypass rate limits, access controls, or security measures;
reverse engineer, decompile, or attempt to extract source code from proprietary components, except where permitted by law;
use the Services to build or operate a directly competing product in violation of this Agreement.
8. Fees and Payment
FortisX may charge fees for certain features or plans. Where fees apply, they will be disclosed in an order form, subscription page, or separate commercial documentation. By enabling a paid plan or feature, you agree to pay all applicable fees.
Network-level fees (such as gas, protocol fees, or third-party service fees) are determined by the relevant networks and providers and are your sole responsibility. Failure to pay fees may lead to suspension or termination of access to the Services.
9. APIs and Integrations
If you use our APIs or integrations, you must:
keep API keys, tokens, and credentials secure and not share them with unauthorized parties;
respect rate limits, quotas, and technical guidelines in our documentation;
ensure that your applications do not overload or degrade the performance of the Services;
comply with any additional terms applicable to API usage.
We may modify, limit, or discontinue APIs and integrations for security, stability, or compliance reasons.
10. Data, Privacy, and Telemetry
FortisX processes operational telemetry, validator and network data, and usage information in order to deliver, secure, and improve the Services. Where this includes personal data, it is handled in accordance with our Privacy Policy.
We may use aggregated and anonymized data for analytics, benchmarking, and product development, provided it does not identify you or your end users.
11. Intellectual Property and License
FortisX and its licensors retain all rights, title, and interest in and to the Services, including software, models, analytics, designs, documentation, and branding. This Agreement does not transfer any ownership rights.
Subject to your compliance with this Agreement, FortisX grants you a limited, non-exclusive, non-transferable, revocable license to use the Services for your internal business purposes. You may not resell, sublicense, or provide the Services to third parties except as expressly permitted in a separate written agreement.
12. Confidentiality
In the course of using the Services, you may receive non-public information about FortisX or its systems (“Confidential Information”). You agree to protect Confidential Information using at least the same level of care that you use for your own confidential information and not to disclose it to third parties except where required by law or with our prior written consent.
Confidential Information does not include information that becomes public without your breach of this Agreement, that you independently develop, or that you receive from a third party without a duty of confidentiality.
13. Risk Disclosure and No Investment Advice
Digital assets and staking involve significant risks, including volatility, slashing penalties, smart contract vulnerabilities, governance changes, validator misbehavior, and protocol failures. Past performance or historical analytics do not guarantee future results.
Information, analytics, or alerts provided through the Services are for informational and operational purposes only and do not constitute investment, legal, tax, or other professional advice. You are solely responsible for evaluating risks and for any decisions you make using or based on the Services.
14. Compliance, AML/KYC, and Sanctions
You agree to comply with all applicable anti-money laundering, counter-terrorist financing, and sanctions laws, as well as our AML/KYC Policy as updated from time to time.
FortisX may request additional information or documentation, restrict functionality, or suspend access where required by law, by a competent authority, or by its internal risk controls.
15. Suspension and Termination
We may suspend or terminate your access to the Services, in whole or in part, if:
you breach this Agreement or any of the Policies;
we reasonably believe your use of the Services presents a security, legal, or regulatory risk;
we are required to do so by law, court order, or a competent authority.
You may stop using the Services at any time. Termination will not relieve you of any payment obligations incurred prior to termination. Provisions that by their nature should survive (including intellectual property, confidentiality, risk disclosure, limitation of liability, and indemnification) will remain in effect.
16. Changes to the Services and to this Agreement
We may modify the Services from time to time, including by adding, changing, or removing features or integrations. We will make reasonable efforts to avoid changes that materially degrade core functionality without notice.
We may also update this Agreement. Where changes are material, we will provide notice via the Services or by other reasonable means. Your continued use of the Services after changes become effective constitutes acceptance of the updated Agreement.
17. Governing Law and Disputes
Unless otherwise required by mandatory law in your jurisdiction, this Agreement and any disputes arising out of or in connection with it are governed by the laws applicable to the FortisX operating entity, without regard to conflict-of-law principles.
Any dispute that cannot be resolved informally will be submitted to the competent courts of that jurisdiction, subject to any mandatory protections that may apply to you under local law.
