1. Introduction
These Terms of Use (“Terms”) govern your access to and use of the websites, dashboards, documentation, and related services provided by FortisX (“FortisX”, “we”, “us”, “our”). By accessing or using our sites or services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not access or use FortisX websites or services.
2. Scope and relationship to other agreements
These Terms apply to your use of our public websites, dashboards, and any free or trial features, including analytics views and basic API access that we make available without a separate signed contract.
If you onboard as a customer under a separate written or click-through agreement (for example, an institutional User Agreement or order form), that agreement will prevail in the event of any conflict with these Terms. Additional product-specific terms or policies may also apply and are incorporated by reference (for example, our Privacy Policy, Cookie Policy, and AML/KYC Policy).
3. Eligibility and compliance
You may use FortisX only if you:
are at least 18 years old and have legal capacity to enter into these Terms;
are not prohibited from using such services under applicable laws, including sanctions or export-control rules;
will comply with all applicable laws, regulations, and regulatory guidance in connection with your use of our services.
We may restrict, suspend, or terminate access for certain jurisdictions or users if required by law or our risk-management policies.
4. Nature of services and role of FortisX
FortisX provides analytics, monitoring, and policy-based tools to help you observe validator and network performance and to operate staking and related infrastructure. Depending on the product and your configuration, the services may include automation that prepares or executes allocation, staking, and rebalancing operations across supported networks, pools, or validators.
For any features that involve capital allocation or execution, the specific roles, permissions, and responsibilities are defined in the applicable product documentation and in any separate agreements between you and FortisX (for example, the User Agreement or institutional terms). Unless otherwise agreed, FortisX does not provide investment, legal, tax, or other professional advice, and information made available through the services is for informational and operational purposes only. You remain responsible for your own decisions and for seeking independent advice where appropriate.
5. Risks of digital assets and protocols
Digital assets and staking involve significant risks, including but not limited to market volatility, liquidity risk, slashing penalties, smart contract vulnerabilities, governance changes, validator misbehavior, and protocol failures. Past performance or historical data do not guarantee future results.
You acknowledge that:
any allocation or staking decision is made at your own risk;
underlying networks and smart contracts may fail, be attacked, or behave unexpectedly;
regulatory and tax treatment of digital assets may change over time.
You should only use FortisX if you understand these risks and are able to bear a potential loss of value of digital assets.
6. Accounts and security
To access certain features, you may need to create an account or authenticate via an external provider (for example, a wallet or messaging platform). You are responsible for maintaining the confidentiality of your credentials and any linked authentication factors, and for all activities that occur under your account.
You must:
use strong, unique credentials and enable additional security measures where available;
notify us promptly if you become aware of any unauthorized access or suspected compromise;
not share your account with other individuals or entities.
We may suspend or restrict access to protect you, other users, FortisX, or third parties if we detect suspicious activity or security risks.
7. Acceptable use
You agree not to use FortisX in any way that:
violates any applicable law, regulation, or regulatory requirement (including AML/CFT and sanctions obligations);
involves fraud, market manipulation, or other abusive or deceptive practices;
interferes with or degrades the operation of our services, networks, or infrastructure;
attempts to bypass or defeat security, rate limits, or access controls;
uses automated systems in a way that overloads or harms our services;
reverse engineers, decompiles, or attempts to extract source code of proprietary components, except where permitted by law.
We may investigate and take appropriate action, including restricting access or cooperating with law enforcement, if we suspect a breach of this section.
8. Fees and taxes
Certain services may be subject to fees, which we will disclose in advance through the interface, documentation, or a separate agreement. Network-level fees (such as gas or transaction fees) are determined by the relevant blockchain or protocol and are outside our control.
You are solely responsible for any taxes, duties, or similar charges that may apply to your use of FortisX or to transactions involving digital assets.
9. Intellectual property
FortisX and its licensors retain all rights, title, and interest in and to the services, including software, interfaces, algorithms, designs, documentation, and branding, except for content that you own or that is open-source and used under a separate license.
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the services for your internal business purposes. You may not:
copy, modify, or create derivative works of the services, except as expressly permitted;
resell, sublicense, or otherwise exploit the services for the benefit of a third party, unless agreed in writing;
remove or alter any proprietary notices or branding.
10. Third-party services and links
Our services may integrate with or link to third-party services, protocols, validators, data providers, or websites. We do not control and are not responsible for the content, security, or practices of any third-party service.
Your use of any third-party service is solely between you and that third party and may be subject to additional terms and privacy policies. FortisX is not liable for any loss or damage arising from your use of such services.
11. Disclaimers
To the maximum extent permitted by law, the services are provided on an “as is” and “as available” basis. FortisX disclaims all warranties, whether express, implied, or statutory, including but not limited to any implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that the services will be uninterrupted, error-free, or free of harmful components, or that any analytics, alerts, or other information are complete, accurate, or up to date. You acknowledge that use of the services involves inherent risks, as described in these Terms.
12. Limitation of liability
To the maximum extent permitted by law, FortisX and its affiliates, officers, employees, and contractors will not be liable for any:
indirect, incidental, special, consequential, or punitive damages; or
loss of profits, revenue, data, goodwill, or opportunity,
arising out of or in connection with your use of or inability to use the services, even if we have been advised of the possibility of such damages.
To the extent liability cannot be excluded, our aggregate liability arising out of or relating to the services or these Terms will be limited to the amount paid by you (if any) for access to the services during the twelve (12) months preceding the event giving rise to the claim.
13. Indemnification
You agree to indemnify, defend, and hold harmless FortisX and its affiliates, officers, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:
your breach of these Terms or of any applicable law or regulation; or
your use of the services, including any content or data you submit or actions you take based on the services.
14. Changes to services and Terms
We may modify, suspend, or discontinue all or part of the services at any time, including by adding or removing features, introducing new limits, or changing integrations with third parties.
We may also update these Terms from time to time. When we do so, we will update the “Last updated” date below. Where required by law or where changes are material, we may provide additional notice (for example, via the site or by email). Your continued use of the services after changes become effective constitutes acceptance of the updated Terms.
15. Termination
You may stop using the services at any time. We may suspend or terminate your access to all or part of the services, or close your account, at our discretion, including where:
you breach these Terms or applicable law;
we are required to do so by law, regulation, or a competent authority; or
continuing to provide services would present unacceptable operational, legal, or security risk.
Sections that by their nature should survive termination (including, without limitation, intellectual property, disclaimers, limitations of liability, and indemnity) will continue to apply.
16. Governing law and disputes
Unless otherwise required by mandatory law in your jurisdiction, these Terms and any non-contractual obligations arising out of or in connection with them are governed by and construed in accordance with the laws applicable to the entity operating FortisX, without regard to conflict-of-laws principles.
Any dispute arising out of or in connection with these Terms that cannot be resolved informally will be submitted to the competent courts of that jurisdiction, subject to any mandatory protections that may apply to you under local law.
